The City Council of the City of Hastings, Minnesota met in a regular meeting
on Tuesday January 20,2004 at 7:00 p.m., in the City Hall Council Chambers at the
Hastings City Hall, 101 East 4th, Street, Hastings, Minnesota.
Members Present:
Mayor Mike Werner, City Councilmembers Hazlet, Hicks,
Moratzka arrived and Schultz
Members Absent:
Councilmembers Riveness and Yandrasits'
Staff Members Present: City Administrator David Osberg;
Administrative Assistant/City Clerk Melanie Mesko Lee;

Planning Director John Hinzman;
Approval of Minutes
Mayor Werner asked if there were any corrections or additions to the minutes
of the regular meeting of January 5, 2004. Hearing none, the minutes were approved
as presented.
Consent Agenda
Councilmember Hicks requested that Item #22-Reolution-.--Approve 2004
CDBG Budget, be moved to Item #3 under Planning. .
Moved by Councilmember Hicks, seconded by Councilmember Hazlet, to
approve the Consent Agenda as amended.

2003 Planning Department Annual Report
Planning Director Hinzman provided an overview of the development and land
use that occurred in 2003.
Resolution-Freitag Property Development Planning
Hinzman noted that this property is designated as Open Space in the
Greenway Plan and is not within the 202()~ban Service Boundary. Hinzman
requested Council approval of a resolution reaffirming support of preservation of the
Raymond Freitag property in East Hastings. Hinzman also requested approval to
forward the resolution to the owners and developers in lieu of City participation in any
planning for development of the property.
Moved by Councilmember Hazlet, seconded by Councilmember Moratzka, to .
approvethe resolution as presented. .

Resolution-Approve 2004 CDBG Budget
Councilmember Hicks asked whether assessment abatement funds are a part
of this budget. Hinzman stated that assessment abatement will be part of the 2005
CDBG budget agreement.
Moved by Councilmember Hicks, seconded by Councilmember Moratzka to
approve the resolution as presented.

Report from Downtown Redevelopment Committee
Mayor Werner stated that an open house will be held on Thursday, January 29
from 5:30 to 9:00 p.m. at Hastings City Hall. The public is encouraged to attend and
provide comment.

adjourn the meeting at 7:19 p.m.

Staff is requesting authorization to continue the contract with Bonestroo Inc. to prepare
plans and specifications for new Dasher Boards on the east rink and upgrade the
Refrigeration System for both rinks at the Civic Arena.
The Dasher Boards replacement costs were budgeted at $171,000 and will be funded
partially by a Mighty Ducks Grant. The City approved $315,000 to replace the
refrigeration system.

AGREEMENT AMENDMENT NO.1
This Agreement Amendment No.1, effective on I 2004 modifies an
Agreement effective on January 7, 2003 ("Prime Agreement") between the City of Hastings ("City") and
Bonestroo, Rosene, Anderlik and Associates, Inc. ("Engineer") for professional engineering services in
connection with improvements at the Hastings Civic Arena ("Project"). City and Engineer agree as
follows:

In addition to the work identified in the original Agreement, the City wishes to replace the dasherboards in
the spectator rink at the Hastings Civic Arena with a new seamless glass style dasher board system.
2. Insert the following after Section 2.1:
2.1.1. The scope of the Engineer's Services for work proceeding from the date of this Amendment No.1
is detailed in Attachment 1 .
3. Insert the following after Section 3.1:
Payment for Basic Services proceeding from the date of this Amendment No.1
3.1.1. Final Design
For completion of the Engineer's Basic Services as outlined in Attachment 1, Section 1, Phase 2,

Engineer's Services
Section 1. Basic Services
Phase 1 - Final Design
Basic services will include preparation of Construction Documents, including:
1. Conduct a kick-off meeting with City Staff to confirm the scope and identify planning issues and
needs.
2. Prepare construction documents. The documents will be drawings and specifications detailing the
requirements for project construction.
3. Provide complete bidding services to City in obtaining bids. The City will provide bidding forms, the
conditions of the construction contract, and the form of agreement between the City and thè
contractor to ensure that appropriate city requirements are satisfied.
Phase 2 - Construction Services
Basic services will include contract administration, shop drawing review, site observations and
correspondence with the City and the Contractor. The Basic Services fee includes site visits anticipated
as follows:
1.
Attendance at a preconstruction meeting.
2. Observation of installation near the end of construction to prepare project punch list
3.
Final inspection to confirm satisfactory completion of punch list.

Schedule Public Hearing to Consider Residential Solid Waste
Collection Rate Adjustment

It is recommended that the City Council take action scheduling a public hearing for
Tuesday February 17, 2004 for purposes of considering a Residential Solid Waste
Collection Rate Adjustment.
Background
In November, 2002 a six year solid waste collection and recycling license was awarded
to Waste Management. One of the provisions included a restriction on rate adjustments
only after three years: and then only if increased costs were demonstrated, and the
rate adjusted no more than 3%. Documentation supporting the requested rate
adjustment is attached for your review.
During a meeting of the Utility Committee on Thursday January 22, 2003 Randy Triplett
Waste Management presented information on the proposed rate adjustment. The Utility
Committee is in agreement that the process should begin for the City Council to
consider the requested adjustment in the rates. City Ordinance requires a public
hearing, preceded by 10 days published notice, prior to passing on any rate adjustment.
Furthermore, City Ordinance states that, "Any requested change in these rates shall be
submitted to the City Council in writing, at least (60) days prior to proposed
implementation date for any adjustment. Thus, any increase in rates would only take
place 60 days after February 2,2004 which is the official date in which the full City of
Council is notified of the requested rate adjustment.

Price Increase Proposal for Residential Solid Waste Collection
Thank you for the opportunity to present our request for a rate increase on the residential solid waste
collection. A brief history to get each of you to the point we are at today.
In November 2000, a six-year solid waste collection and recycling license was awarded to Waste
Management - Hastings. One of the provisions of this agreement was: "Rates would be adjusted after
three years, only if increased costs are demonstrated; the increase is approved by the City Council,
and with the understanding that rates would not increase by more than 3%". The rates listed below
were effective January 1, 2000.

In December 2001, Waste Management approached the City Council to request an increase based on
a change in taxation from the State of Wisconsin from $0.30 per ton to $3.00 per ton effective January .
1, 2002. The increased was approved at the January 7th, 2002 Council Meeting and went into effect
April 1st, 2002. The increase at this time went directly to the State of Wisconsin. The rates at that time
changed as listed below.

May 2002 was the public hearing for a rate increase for single sort recycling. The requested increase of
$0.30 per month was to pay the capital expenditure for 5,000 carts. The increase became effective in
July 2002. The rates changed as listed below.

To date, the two increases that Hastings residents have received since 2000 have been increases that
have gone directly to pay for disposal cost and single sort recycling carts. Waste Management is
seeking an increase for the operating or hauling of the solid waste.
Some of the cost increase we have experienced since 2000 are listed below. Please note that in April
2000, all Waste Management customers throughout the United States, as well as customers of UPS,
FED-EX and other transportation companies implement~d a fuel surcharge because of the spike in
diesel fuel. The table below was taken directly from Department of Energy and can be found at
www.eia.doe.Qov. The City of Hastings residents do have a fuel surcharge on their quarterly invoice.

Fuel is a major component of our hauling or collection costs. While new trucks have helped with the
amount of fuel being consumed per hour, a collection truck in the City of Hastings will use over 50
gallons of fuel each day. With the increased cost of fuel, other petroleum-based products such as oil
and grease have increased also, along with the cost associated with getting those products delivered.

The spreadsheet below demonstrates the cost increase of providing quality and affordable health
insurance for our employees. I have listed the actual cost to Waste Management for each year, and
have shown for 2004 the actual out of pocket expense for an employee with family coverage. While we
have passed a portion of these increases on to the employees, Waste Management does pride
ourselves on providing equal or better health care coverage than other Fortune 500 companies.

Waste Management has added other services since December 2000 that are worthy to be mentioned.
The first is the success of the Youth Recycling Program. This was launched with the first youth group
in February 2002 and Boy Scout Troop 503 earned $330.00 for helping recycling 22 tons of mixed
paper. Since that time an additional 189.69 tons have been placed into the youth recycling box, and
$2.845.35 has been donated to various groups for their education and recycling efforts. It should be
noted that from the data available, no decrease in participation or the amount of tons recycled has been
seen from the residential homes within the City of Hastings.
April 2001 Waste Management received approval to allow City of Hastings residents to dispose of Sony
electronic products at no charge and non-Sony products for a fee at our Yard Waste drop site. This is
advertised each year in the City of Hastings - Solid Waste Guide To date 315 Sony products have been
delivered to our facility at no charge.
Because of the aforementioned cost increases, Waste Management is requesting a 3% increase on
the solid waste collection. With council approval and then the required public hearing, the increase
would be effective as soon as April 1, 2004. The table below lists the current rates and then the new
rates with the approved increase.

While any price increase is sometimes difficult to accept, Waste Management feels that we have done
an excellent job of containing and reducing costs associated with the collection of the solid waste.
Changes such as automation, day changes and every other week collection directly lower labor and
worker compensation costs. However 75% to 80% of our costs are variable costs such as fuel, truck
repairs, parts, health insurance, cost of living wage increases and other overhead supplies. These
variable costs have increased over the last four years and we have been able to absorb some of these
with our increased operating efficiencies. It has now become necessary to request this increase to
provide an acceptable level of retum to Waste Management.

hearing on Tuesday February 17,2004 at 7:00 PM in the Council Chambers at the

RESOLUTION APPROVING RENEWAL OF CONSUMPTION
& DISPLAY PERMIT FOR THE KNIGHTS OF COLUMBUS
WHEREAS, the Knights of Columbus have presented an application to the City
of Hastings for a renewal of their consumption & display permit for their building, located
at 3075 Vermillion Street, Hastings,' Minnesota, and
WHEREAS, this is a state-issued permit that requires local approval of said
renewal permit.
NOW, THEREFORE BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF HASTINGS AS FOLLOWS; that the City Council of the City of Hastings that the
Mayor and the Administrative Assistant/City Clerk be given authorization and be
directed to sign this resolution and the application for renewal of a consumption &
display permit and forward the permit and resolution to the Minnesota Department of
Public Safety, showi[1g approval of this request for the Knights of Columbus, 3075
Vermillion Street, Hastings.

Request for redevelopment review opportunity
SUMMARY: The Heritage Preservation Commission asks that Council give them an
opportunity to review and comment on the design of redevelopment projects that may be
proposed for properties adjacent to the East Second (downtown) Historic District.
The Preservation Ordinance provides that HPC may request that Council adopt measures
for the preservation of designated sites. The HPC does not have review authority over
property which has not been designated as an Heritage Preservation Site. However,
the HPC believes that the scale and appearance of new construction would have an
impact on the Historic District.
Design review has also been covered in the Preliminary Agreement, in that the
developer's designs are to be cons~ent with the Design Guidelines for Original
Hastings. The City Council adopted these Design Guidelines along with the Heart of
Hastings Master Plan. The Council still has to adopt the Heart of Hastings zoning
amendment and boundaries before those guidelines, written to ma.h1tain the character of
the neighborhood, would apply to the downtown redevelopment.
RECOMMENDATION:
If Council wishes to provide HPC an opportunity to comment, Council could direct that
the Downtown Redevelopment Committee consider both the Original Hastings
Guidelines and HPC comment during the Committee's review of the developers' design
proposals.

ADDITION A MULTIPLE FAMILY SUBDIVISION GENERALLY LOCATED ALONG
SPIRAL BOULEVARD, EAST OF THE HASTINGS INDUSTRIAL PARK, HASTINGS,

WHEREAS, Tom Ryan has petitioned for preliminary plat and final plat approval of
GLENDALE HEIGHTS 2ND ADDmON, a multiple family subdivision containing 109 residential
units, 4 common interest lots, and 11 outlots for future development on 79.59 acres generally located
along Spiral Boulevard, east of the Hastings Industrial Park legally described as Outlots A, B, and C
GLENDALE HEIGHTS, Dakota County, Minnesota; and
WHEREAS, on October 27, 2003, a public hearing was conducted before the Planning
Commission of the City of Hastings, as required by state law, city charter and city ordinance; and
WHEREAS, the Planning Commission recommended approval of the Preliminary Plat
and Final Plat subject to the conditions contained herein; and
WHEREAS, On November 3, 2003 The City Council of the City of Hastings adopted
Resolution No. 11-06-03 approving the Preliminary and Final Plat of Glendale Heights 2nd
Addition; and
WHEREAS, On December 15, 2003 The City Council of the City of Hastings adopted
Resolution No. 12-09-03 approving revisions to PreliIÌlÏnary and Final Plat of Glendale Heights
2nd Addition; and
WHEREAS, the petitioner has made minor modifications to the approved Final Plat of
Glendale Heights.
NOW THEREFORE BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF HASTINGS AS FOLLOWS:
That the City Council hereby approves the minor modifications to the final plat of GLENDALE
HEIGHTS 2ND ADDillON subject to the following as outlined in City Council Resolution No. 11-
06-03 and 12-09-03:
1) Recording of the Final Plat of GLENDALE HEIGHTS with Dakota County.
2) Development of the platted outlots shall be prohibited until replatted as lots of record.
3) All buildings consisting of three or more units will be subject to Site Plan by the Planning
Commission and City Council prior to construction
4) All disturbed areas on this property shall be stabilized with rooting vegetative cover to
eliminate erosion problems.
5) Pinal approval of the grading, drainage and utility plans by the Public Works Director, and
reimbursement for any fees incurred in review of the development. The owner assumes all
risks associated with the grading and utility placement prior to formal approvals.
6) All stormwater drainage must either be directed into interior stormwater basins or directly
infiltrated so as not to negatively impact steep slopes.
7) The association shall be fully responsible for maintenance of ravine slopes. A clause must be
included in the association documents to memorialize association responsibility.
8) Severe grades and slopes must be reforested with naturally oœUITÍng trees and shrubs to
recreate the existing habitat and environment and stabilize the slopes.
9) The emergency overflow for ponding basins must not be drained into ravine areas. The
ponding basin between Lauren Dove Lane and the north property tine must be reconfigured
to avoid ravine overflow impact.
10) All off site drainage must be controlled to detain as much run-off as possible on site. In
instances where runoff cannot be contained onsite special measures such as filter dames, rock
check dames and French drains shall be used.
11) The disturbed areas of the site shall be maintained to the requirements of the City's property
maintenance ordinance.
12) Further exactions may be required as a condition of replatting outlots.
13) A trail connecting Drew Drive with Enterprise Avenue shall be constructed by the developer
to provide secondary emergency access to the specifications of the Public Works Director
and Fire Marshall.
14) All private roads including the temporary street connection between Lauren Dove Lane and
Lore Lane must be constructed to city specifications.
15)A temporary cul-de-sac maybe required at the terminus of Drew Drive as determined by the
Public Works Director.
16) Lea Jean circle must be re-examined. Existing configuration leaves part of the "bulb" on
adjacent property and does not provide adequate turn around. Since construction is not part
of the first phase of development, the city will re-examine the configuration for future
constructi on.
17) All street names are subject to review and approval of the Fire Marshall.
18) Prior to City signature of the Final Plat mylars, a revised landscape plan shall be submitted
identifying the size, species, and method of installation for all required boulevard and front
yard trees, as weB as cul-de-sac islands.
19) Tree Preservation fencing shall be installed prior to commencing any grading, and shall be
maintained throughout site development.
20) Replacement of removed trees shall be required at the amount specified in the Tree
Preservation Guidelines at the discretion of the City Forester.
21) Lots 2-9, Block 2 shall be screened from Spiral Boulevard through erection of a fence and
landscaping; or planting exclusive planting of landscaping with a year round opacity of 80
percent.
22) A fifty foot building setback buffer must be maintained along the western boundary of the
plat adjacent to the Hastings Industrial Park.
23) A temporary drainage, utility and access easement must be granted to facilitate construction
of the water line, and temporary road across outlot areas
24) A declaration of covenants, conditions and restrictions or the equivalent document shall be
submitted for review and approval by the City before release of the final plat mylars to ensure
maintenance of open space, common drives, and common utilities. The declaration shall
include, but is not limited to, the following:

A statement requiring the deeds, leases or documents of conveyance affecting
buildings, units, parcels, tracts, townhouses, or apartments be subject to the
tenns of the declaration.
(b) A provision for the fonnation of a property owners association or corporation
and that all owners must be members of said association or corporation which
may maintain all properties and common areas in good repair and which may
assess individual property owners proportionate shares of joint or common
costs. The association or corporation must remain in effect and may not be
terminated or disbanded.
Membership in the association shall be mandatory for each owner and any
successive buyer.
Any open space restrictions must be pennanent and may not be changed or
modified without city approval.
(e) The association is responsible for liability insurance, local taxes and the
maintenance of the open space facilities deeded to it.
(f)
Property owners are responsible for their pro-rata share of the cost of the
association by means of an assessment to be levied by the association which
meet the requirements for becoming a lien on the property in accordance with
Minnesota Statutes.
(g)
The association may adjust the-assessment to meet changing needs.
25) Submission of an electronic copy of all plan sets (TIP, PDF, or similar fonnat) prior to
recording of the Final Platmylars.
26) Preliminary Plat approval is subject to a one year Sunset Clause; if significant progress is
not made towards construction of the proposal within one year of City Council approval,
the approval is null and void,
27) Execution of a development agreement to memorialize the conditions of the plat and to
establish any applicable escrow amounts to guarantee the completion of site plan
activities. '
28) Payment of cash in lieu of land for park dedication in the amount of $196,200 ($1,800 x
109 units) prior to release of final plat mylars.
29) Payment of sewer interceptor fees in the amount of $$35,425 ($325 x 109 units) prior to
release of final plat mylars.
30) Any uncompleted site work (including landscaping) must be escrowed for prior to
issuance of a certificate of occupancy.
31) The Final Plat shall be submitted to Dakota County within 90 days of approval by the
City Council, or the approval is null and void.

As authorized by Council at the December 15,2003 meeting, the Fire Department has
received bids for a replacement tanker truck. Funding for this purchase is available from
the Department's ERF.
As a result of the solicitation process, only one bid was received. Midwest Fire located in
Luveme, Minnesota provided the quotation of$190,963.00. This price includes an
exhaust filtration system which reduces emissions on start up, this system is currently
being retrofitted on all diesel units at a cost of $8,500.00 each. Included in our bid
request was an allowable requirement for trade in of our 1981 tanker. The trade in value
as stated by the bidder is $1,500.00. Recently, the Utilities Department has expressed
interest in acquiring the trade vehicle for their use.
Facilitation of the bidding process included the mailing of bid specifications to ten
manufacturers in our region. Although it is not known why only a single proposal was
returned, similar circumstances recently occurred in Newport and Inver Grove Heights
with their tanker purchases.
After receiving the proposal from Midwest Fire Equipment and Repair Company,
departmental committee members found no exceptions to the specification. Since the
City hasn't dealt with the company in the past, a tour of their facility was conducted. As
outlined in the attached memo to me from Ass't. Chief/Fire Marshal Michael Schutt, the
committee feels the manufacturer is capable of providing a truck suitable to our needs.
Recommended Action:
Approve award of bid for Fire Department replacement tanker to
Midwest Fire Equipment and Repair Co. in the amount of$190,963.00.

Vehicle replacement for unit 1495
A total of 10 specifications/request for bids were delivered to vendors, along with the
legal advertisement in the newspaper. Two of the vendors contacted me, stating, due to
other obligations, they would not be able to submit a proposal. One proposal was
received and opened at 10:00 a.m. January 16,2004.
The tanker committee bas carefully reviewed the proposal and is reconnnending that the
city enter into a purchase agreement with Midwest Fire Equipment and Repair Company,
Inc. (Midwest Fire) for a total purchase price of$189,463.00. Midwest Fire met our
specifications with no exceptions., They also provide a 15-year warranty on the apparatus
and a lifetime warranty on the water tank. In their proposal, they request payment of the
chassis ($93,500.00) when it arrives at their fucility. The chassis would be titled to the -
City of Hastings prior to delivery at Midwest Fire.
Midwest Fire, located in Luverne, MN, has been in business for nearly 20 years. I have
spoken with several fire departments around the State of Minnesota that have done
business with Midwest Fire and all have given them high remarks.
On beha1f of the tanker committee, we would like to extend our thanks for allowing
firefighter design/input in writing the specifications for this apparatus. We feel the City
of Hastings will be getting a well-defined heavy-duty piece of fire apparatus that will last
for 25 years or more.

of 1.5 oz. fiber matting, and top-coated with 2 coats of gelcoat.

Authorize Preliminary Development Agreement
SUMMARY: The agreement gives Sherman Associates until the end of
October 2004 to present redevelopment plans for approval and to negotiate a
redevelopment contract. The properties covered by the agreement are shown
on the map attached to the agreement.
The agreement was written by Robert Deike, the HRA' s attorney. In
addition to the usual provisions, it incorporates language proposed by the
Council, the lIRA and the Developer.
Main points of the agreement:
. The agreement assures the developer that the City/HRA will not
entertain redevelopment proposals for the same properties while
Sherman Assoc. invests time and money preparing plans for City
approval (Set. 1). This does not preclude the owners of private
property from selling, or undertaking projects on, their property.
. The concepts proposed by the developer in the selection process are
not an approved plan. Refined plans prepared during this preliminary
agreement will specify the uses, sizes, locations, and appearances of
proposed construction (the 5th Whereas).
. The agreement anticipates that plans will be approved and a
redevelopment contract completed by October 20, 2004 - or as
amended with approval by the City/HRA (Sct. 10).
. During this period the developer will: (1) prepare development
designs for approval - these will include an overall or master
redevelopment plan for the area and specific designs for each phase or
stage of construction; (2) demonstrate satisfactory project financing;
(3) demonstrate project economic feasibility and soundness; (4)
negotiate a redevelopment contract concerning the City/Authority's
sale of property and any form of public assistance. (Set. 4) There may
also be separate redevelopment contracts for each phase.
. The conditions specified by Council and lIRA prior to selection are
included: (1) a market study to determine if a destination use such as a
hoteVrestaurant/banquet facility is feasible (Sct. 3); (2) a meeting
with downtown neighborhood to discuss their concerns and needs (Set
3); (3) consistency with the Heart of Hastings plan and the RFP goals
and objectives (Set 2. (e); (4) The City's and Authority's
predevelopment costs will be paid by the developer (Sct. 8).
. The "exit strategy" is included in that the agreement specifies that the
decision to enter into a redevelopment contract is at the sole discretion
of each of the parties. Any of the parties can decide that it is not in
their best interest to proceed with the development and, upon
notification, terminate this agreement (Set. 6).
RECOMMENDATION:
Staff recommends that the City Council authorize the execution of the
preliminary agreement.
The Housing & Redevelopment Authority has authorized execution of the
agreement, contingent upon Council approval.

PRELIMINARY DEVELOPMENT AGREEMENT
THIS AGREEMENT is made and entered into this - day of . 2004, by and
among the City of Hastings, a home rule charter city under the laws of the state of Minnesota,
(the "City") with its principal office at 101 East Fourth Street, Hastings, Minnesota 55033, the
Housing and Redevelopment Authority In and For the City of Hastings, Minnesota, a public
body politic and corporate, (the "Authority") with its principal office at 101 East Fourth Street,
Hastings, Minnesota 55033, and Sherman Associates, Inc., a Minnesota corporation (the
"Developer") with its principal office at 233 Park Avenue South, Minneapolis, Minnesota 55415.
WITNESSETH:
WHEREAS, in furtherance of the objectives of the Minnesota Statutes, sections 469.001-
.047 (the "Act"), the Authority has undertaken a program for the clearance and reconstruction or
rehabilitation of blighted, deteriorated, deteriorating, vacant, unused, under used or
inappropriately used, areas of the City, and in this connection is engaged in carrying out a
redevelopment project known as the Downtown Redevelopment Area (hereinafter referred to as
the "Project") in an area (hereinafter referred to as the "Project Area") located in the City of
Hastings (the "City"); and
WHEREAS, as of the date of this Agreement there has been prepared and approved by the
Authority and the City Council of the City a redevelopment plan for the Project (which Plan is
hereinafter referred to as the "Redevelopment Plan"); and
WHEREAS, the Developer has proposed to acquire certain real property owned by the
Authority and the City in the Project Area and to acquire adjacent parcels of property from third
parties (which real property is collectively referred to herein as the "Redevelopment Property"
and is shown on the attached Exhibit A); and
WHEREAS, the Developer has presented to the Authority and the City Council of the
City a concept for the development of the Redevelopment Property through the construction of a
mixed use commercial and residential development (the "Development"), which proposal may
involve the Authority's use of tax increment and other funds to finance a portion of the cost of
the Developer's redevelopment of the Redevelopment Property; and
WHEREAS, the Authority, City and Developer recognize that the concept presented by
the Developer during the selection process is not an approved plan, and that the Developer will
prepare and submit refined plans including, for example, types and sizes of uses, site plans and
building appearances for City and Authority approval during the term of this agreement; and
WHEREAS, the City Council and the Authority's Board of Commissioners have
reviewed the Developer's development concept and desires to enter into this Preliminary
Development Agreement to allow the Developer to further refine its development concept and to
negotiate with the City and Authority concerning public participation in and approval of the
proposed Development; and
WHEREAS, the City, Authority and Developer intend to proceed with the Development
if: (i) a design for the Development can be agreed upon by the City, the Authority and the
Developer; (ü) a satisfactory agreement can be reached regarding the Authority's commitment
for public financial assistance necessary for the Development; (ill) satisfactory financing for the
Development can be secured; and (iv) the economic feasibility and soundness of the
Development and other necessary preconditions have been determined to the satisfaction of the
parties.
NOW, THEREFORE, in consideration of the covenants and-õbligations of the parties
hereto, the Authority, the City and the Developer hereby agree as follows:
Section 1. Preliminary Nature of Agreement. The City, Authority and Developer agree
that this Agreement is intended to be preliminary in nature. Before the City, Authority and
Developer can make a decision on whether to proceed with the implementation of the
Developer's development concept, it will be necessary to assemble and consider information
relative to the uses, design, economics and other aspects of the Development. The purpose of
this Agreement is to allow the Developer an opportunity to assemble such necessary information,
to refine the above referenced development concept, and to negotiate with the City and the
Authority concerning the execution of a Redevelopment Contract (the "Contract") which, if
executed, will set forth the rights and responsibilities of the City, the Authority and the
Developer with respect to such development.
During the term of this Agreement, the Authority and City agree that they will not enter into or
negotiate a similar agreement with any party other than the Developer for a project within the
Redevelopment Property and that they will not agree with any such alternative developer to
provide tax increment or other financial assistance, eminent domain assistance or other
assistance in connection with any development or redevelopment undertaken on any portion of
the Redevelopment Property. Private owners of portions of the Redevelopment Property may,
however, undertake development or redevelopment projects on their properties so long as such
development or redevelopment conforms to applicable law.
Section 2. Present Intent of Parties. It is the intention of the parties that this Agreement
document their present understanding and commitments and that if the following conditions can
be fulfilled to the satisfaction of the City, Authority and Developer that the parties will proceed
in an attempt to formulate a mutually satisfactory Contract:
(a)
the Developer demonstrates the feasibility of the Development as refined pursuant
to this Agreement;
(b)
the Developer provides such documentation regarding the economic feasibility of
the Development as the City and Authority may wish to receive during the term of
this Agreement;
(c)
the completion of all undertaldngs required by this Agreement in a satisfactory and
timely manner;

(d)
(e)
the satisfaction of such other conditions as are determined to be appropriate by
either party; and
the Development is generally consistent with the 2003 Heart of Hastings Plan and
the 2003 Request for Proposals Goals and Objectives prepared by the Authority and
the City.
The Contract (together with any other agreements entered into 'between the parties hereto
contemporaneously therewith) when executed will supersede all understandmgs and obligations
of the parties hereunder.
Section 3. Development Design. The Developer's concept for the Development on the
Redevelopment Property is preliminary in nature and must be refined before implementation.
The concept as proposed involves the construction of a mixed use development including
housing and commercial components. The Authority and the City have caused to be prepared a
master plan for the redevelopment of the downtown area mcluding the Redevelopment Property.
Such master plan envisions the development of a part of the downtown area as a destination use
such as a hotel, restaurant, and/or meeting-banquet facility. Within ninety days after the date of
this Agreement, the Authority will cause to be prepared, by a firm mutually acceptable to the
Authority and the Developer, a market study, the cost of which will be shared equally by the
Authority and the Developer, on the feasibility of such a destination use. If such a destination use
is determined to be feasible, the Developer will mcorporate such a use into an early phase of its
development, m a location appropriate for the use. The Authority, city and Developer agree that
City Council's requirement that the Developer meet with downtown busmess owners to discuss
development opportunities associated with its development and to receive the busmess owners'
input on their concerns about the proposed development has been satisfied by the
Redevelopment Open House held at City Hall on January 29, 2004.
Section 4. Additional Developer Undertakmgs. After the Authority secures the market
study referenced in Section 3 of this Agreement the Developer shall do the followmg:
(a)
Identify all real property that must be acquired to undertake and complete the
Development and attempt to secure purchase agreements to acquire the privately
owned property to be mcluded m the Development.
(b)
Submit to the Authority and City a proposed schedule for all phases of the
Development, including without limitation, the thning of the closing on financing
and the various stages of construction.
(c)
Submit to the Authority and City a refined site plan for the Development showing
the size, nature and location of the proposed Development, including parking,
landscaping and other exterior hnprovements.
(d)
Submit to the Authority and City elevation and perspective drawings for the
Development showing the refined design of the buildings as seen ftom all streets

and :trom the river, which drawings shall be consistent with the City's Design
Guidelines for Original Hastings.
Submit to the Authority and City a project proforma detailing all costs of the
Development and the sources and uses of all funds to be raised to finance the
Development, including justification for any public financial participation
requested.
Secure and submit to the Authority and City a market study showing the feasibility
of those portions of the Development not covered by the market study obtained
pursuant to Section 3 of this Agreement. '
Secure and submit to the Authority and City evidence acceptable to the City and
the Authority showing how the Developer will finance the construction of the
Development.
Undertake preliminary engineering and soil testing of the Redevelopment Property.
For this purpose, the Developer and its contractors shall have the right to enter
upon the portion of the Redevelopment Property owned by the City and the
Authority at reasonable tUnes and after notice to the Authority. The Developer
shall indemnify, defend and hold the Authority and the City harmless ftom and
against any claims or damage, of whatsoever nature, arising out of the entry onto
the land of the Authority and the City.
(i)
Using environmental reports and studies provided by the Authority and such other
studies and testing deemed necessary determine the acceptability of the
environmental condition of the Redevelopment Property.
All of the information described above shall be prepared or collected at the sole expense of
the Developer. The approval of the Authority and City of an overall plan for the development of
the Redevelopment Property and individual plans for the development of phases of the approvtd
overall development are conditions precedent to the parties proceeding with the Development.
Section 5. Authority Undertakings. During the term of this Agreement, the Authority will
undertake the following:
(a)
Formulate an estimate of the cost of any public improvements that will be
necessary to be constructed as a result of the Development.
(b)
Using information provided by the Developer on the tUning of construction and
value of the Development and a "but for" analysis on the need for public assistance,
undertake an analysis of the amount of tax increment that may be generated ftom
the completed Development and explore the feasibility of using tax increment ftom
a new tax increment district encompassing the Development to finance some of the
public redevelopment costs associated with the Development.

(c)
Using information provided by the Developer on job creation and wages, undertake
an analysis of the Development's consistency with the Authority's business subsidy
policy and the City's and Authority's goals and objectives when granting business
subsidies to private businesses.
(d)
Cause to be prepared drafts of the Contract.
Section 6. Negotiation of Contract. Dwing the term of thiS Agreement, the Authority and
the Developer shall proceed with the negotiation of a Contract relative to the Development. The
decision to enter into a Contract shall be in the sole discretion of each of the parties. If prior to
execution of the Contract either party determines in its sole discretion that it is not in its best
interest, for whatever reason, to proceed with the Development, it shall so notify the other party,
whereupon this Agreement shall terminate and, subject to Section 8, neither party shall have any
rights or obligations to the other or to any third party under or with respect to this Agreement.
Section 7. Effect of Approvals. No approval given by the Authority hereunder or in
connection herewith shall be deemed to constitute an approval of the development for any
purpose other than as stated herein and the process outlined in this Agreement shall not be
deemed to supersede any concept review, conditional use pennit, vacation, subdivision, or other
zoning or planning approval process of the Authority or the City relative to the development of
real estate.
Section 8. City and Authority Costs. In consideration of the Authority's covenants and
agreements set forth herein, the Developer agrees that it will pay all customary City fees payable
with respect to similar develòpments and all third party costs incurred by the City and the
Authority with respect to the proposed Development including, without limitation, fiscal,
planning, engineering or public works, environmental, tax increment, market consultants and
attorneys' fees in connection with the preparation of this Agreement, the Developer's share of
the cost of the market study referenced in section 3 of this Agreement, the negotiation,
preparation and implementation of the Contract, the tax increment and business subsidy analysis,
the estimating of the public improvement costs related to the construction of the Development
and all other transactions related to the Development. The Developer deposited $20,000 with the
Authority at the time of execution of this Agreement. The Authority shall have the right to draw
upon such amounts to pay its and the City's costs. If the amount on deposit becomes depleted,
the Authority shall have the right to request that the Developer replenish such funds upon which
the Developer shall remit to the Authority additional funds to be held on deposit and used to pay
costs. If on termination of this ,'Agreement, the amounts held by the Authority are insufficient to
pay the Authority's costs, the Developer shall be liable for any deficiency. If this Agreement is
terminated in accordance with the terms hereof: any sums remaining on deposit with the
Authority, after the Authority pays or reimburses itself for costs incurred to the date of
termination, shall be returned to the Developer. No other financial obligations shall exist
between the parties, other than those that may be negotiated and contained in the Contract. If the
parties enter into the Contract it is expected that the Contract will contain provisions detailing
how the Authority's costs incurred subsequent to the execution of the Contract will be paid.

The Authority will provide the Developer with written proposals ITom attorneys and
consultants for the services they anticipate providÛ1g to the Authority and City and the rates to be
charged and, if possible, the estimated costs. At such time as the Authority uses funds on deposit
with the Authority to pay costs as provided in this section the Authority will provide the
Developer statements or invoices documentÛ1g such costs.
In the event that the City, the Authority and the Developer proceed with the Development
and tax increment, tax abatement or other public subsidies are used to assist the Development, if
the costs paid by the Developer under this section can legally be reimbursed fÌ'om the source of
such subsidies, the Authority and the City agree that such costs will be so reimbursed.
Section 9. Modifications. This Agreement may be modified and the term hereof may be
extended only through written amendments hereto signed by all parties to this Àgreement.
Section 10. Termination. This Agreement shall be effective until October 20,2004. Iffor
any reason a Contract has not been entered into by the parties within the term of this Agreement
or any mutually approved extension thereof, this Agreement shall be null and void and, subject
to Section 8, neither party shall have any liability or obligations to the other.
Section 11. Severability. If any portion of this Agreement is held invalid by a court of
competent jurisdiction, such decision shall not affect the validity of any remaining portion of this
Agreement.
Section 12. Notices. Notice, demand, or other communication ITom one party to the other
shall be deemed effective if sent by certified mail, postage prepaid, return receipt requested or
delivered persona1lý to a party at its address in the first paragraph of this Agreement, or at such
other address as such party may designate in writÛ1g to the other party.

The Fine Arts Committee of Hastings, Minnesota met in the Volunteer Room of City
Hall on December 1,2003.
The meeting was opened by Ruth Litschke-Anderson and a short tour taken by the
Committee to view the curreøt art on the walls. On returning to the Volunteer Room the
first item of discussion was the possibility of conducting an art competition this coming
year (2004), rather than an Open House (as previously discussed). The Committee talked
about it being an adult competition, and the possibility of this competition becoming an
annual tradition. The Fine Arts Committee supported Ruth on her suggestion that she
locate a local patron.
The Committee also supported the decision that the Fine ,Arts Committee take part in all
local activities when asked to do so. The Committee agreed to follow up on an earlier
decision to place a banner outside of City Hall, welcoming citizens and tourists to any art
tours taken by the public to view the art exhibit at City Hall. The Committee also agreed
to continue searching for an additional member for the Fine Arts Committee----one who
would specifically meet the criteria of interest in the arts.
Art Nordstrom will speak to Andy Evenson, a local artist, to ask him if he would make a
donation of art to the collection. Ruth Litschke-Anderson will continue to up-date the
donation letter to solicit additional art
The meeting was adjourned at 4:45 P.M. wi~ the reminder that the Fine Arts Committee
