The City Council of the City of Hastings, Minnesota met in a
regular meeting on Monday, October 1, 1973 at 7:00 o'clock P.M. in the
Council Chambers of the City Hall.
Members present:
Councilmen Schnirring, Kramer, O'Connor,
Fischer, Driscoll, Novak and Mayor Petersen.

Members absent:
Councilmen Collins and Hallberg.
Minutes of the last meeting were read and approved.
Councilman Driscoll introduced the following resolution and
moved its adoption:
RESOLUTION ADOPTING 1972 SUPPLEMENTAL ASSESSMENTS
WHEREAS, pursuant to proper notice duly given as required by
law, the Council has met and heard and passed upon all objections to
the proposed assessments for the improvement of the following:
PROPOSAL II
SANITARY SEWER, WATERMAIN, STORM SEWER,
STREET GRADING AND BASE
Louis Lane and 19th Street within Country Club
Second Addition, 19th Street from Pine Street
to Louis Lane - Sanitary Sewer, Watermain, Storm
Sewer, Street Grading and Base.

Old Bridge Lane and 25th Street within Old Bridge
Addition, Pleasant Drive from 23rd Street to Old
Bridge Lane - Sanitary Sewer, Watermain, Storm
Sewers, Street Grading and Gravel Base Construction.
Brittany Road and East 880 feet of 14th. Street
within Sontag's Second Addition - Sanitary Sewer,
Watermain, Storm Sewers, Street Grading and Gravel
Base Construction and necessary Trunk Sewers.
The total amount to be assessed for 1972 Supplemental Assessments is $218,799.56
NOW THEREFORE BE IT RESOLVED BY THE CITY COUNCIL OF HASTINGS:
1. Such proposed assessments, a copy of which is attached
hereto and made a part hereof is hereby accepted and shall constitute
the special assessments against the lands therein, and each tract of
land therein included is hereby found to be benefited by the proposed
improvement in the amount of the assessment levied against it.

2. Such assessment shall be payable in equal installments
extending over a period of 10 years, the first of the installments to
be payable on or before the first Monday of January ,1974. Any deferred
installments shall bear interest at the rate of eight percent (8%) per
annum. To the first installments shall be added interest on the entire
assessment, from the date of this assessment resolution, until December 31,
1973. To each subsequent installment when due shall be added interest for one
year on all unpaid installments.
3. The owner of any property so assessed may, for 30 days after
notification from the City Treasurer, pay to the City Treasurer, the
whole of the assessment without interest, and he may at any time, prior
to certification of the assessment to the County Auditor, as herein
provided, pay the whole of the assessment against any parcel with interest
accrued to the date of payment to the City Treasurer, and he may at any
time thereafter pay the County Treasurer the entire amount of the assess-
ment remaining unpaid with interest accrued to December 31st. of the year
in which such payment if made.

4. The City Clerk shall forthwith transmit a certified
duplicate of this assessment to the County Auditor to be extended
on the proper tax lists of the County and such assessment shall be
collected and paid over in the same manner as other municipal taxes.

ORDINANCE PROVIDING FOR AND CREATING THE OFFICE OF
ADMINISTRATOR FOR THE CITY OF HASTINGS
I
WHEREAS, the City Council of the City of Hastings is of the belief
that the operation and functioning of the City would be improved and better
coordinated by the creation of the Office of City Administrator, and that
the administrative details of the City would be more efficiently and
economically handled by the creation of the Office of City Administrator;
NOW, THEREFORE, IT IS HEREBY ORDAINED by the City Council of the
City of Hastings, as follows:
That the Office of City Administrator is hereby created in the
City of Hastings;
That the City Administrator shall be appointed by the Council on
the basis of his training, experience and administrative qualifications;
That the duties of the City Administrator shall be as follows:
a. Exercise control and supervision over all departments of the City
(except the Police Department) and coordinate the activities of
consultants and advisory bodies. Exercise control and supervision
of the Police Department in accordance with the direction of the
Mayor.
b. Submit to the Council recommendations relative to the appointment and
removal of all employees of the City on the basis of merit, and act
as Personnel Officer being responsible for the implementation of City
personnel policy.

c.
Secure the enforcement of all laws, ordinances and resolutions of the
City and of the State as they apply to the City, and make recommenda-
tions for changes or additions to ordinances when necessary.
d. Attend all special and regular meetings of the Council and actively
participate in such meetings in all respects, except voting.
e. Prepare and submit to the Council the proposed annual budget, and
enforce and administer all provisions of the adopted budget.
f. Submit reports to the Council on City finances, budget status and
administrative activities on a regular basis.
g. Supervise the preparation and coordination of and submit to the Council
the annual and long-range work programs of the departments of the City.
h. Keep the Council advised as to the future needs of the City, and make
~ecommendations on long-range promotion of community welfare.

Familiarize himself with alternate and supplemental sources of revenue,
including but not limited to federal and state aids, loans, grants and
other sources of revenue, and prepare and submit proposals to the
Council and other appropriate agencies of the City recommendations for

RESOLUTION AUTHORIZING THE ACQUISITION, INSTALLATION AND LEASING
OF A PROJECT UNDER THE MINNESOTA MUNICIPAL INDUSTRIAL DEVELOPMENT
ACT AND THE ISSUANCE OF INDUSTRIAL DEVELOPMENT REVENUE BONDS ,TO
FINANCE THE PROJECT.
BE IT RESOLVED by the Council of the City of Hastings,Minnesota
as follows:
o
1. The Council has received a proposal from H. D. Hudson
Manufacturing Company, a Minnesota Corporation, duly licensed todo business
in the State of Minnesota, that the City undertake a certain project as
herein described, pursuant to the Minnesota Industrial Development Act,
Chapter 474, Minnesota Statutes.
2. The Project which is to consist of the construction and
equipping of an addition to the existing company plant for the manufacture
and distribution of agricultural equipment and related products, will give
employment to approximately 10 persons; will help to increase the tax base of
the City and will otherwise further the policies and purposes of said Industrial
Development Act.
3. Under the proposal the Project will be financed from the
proceeds of Industrial Development Revenue Bonds to be issued by the City
with title to the Project property to be taken in the name of the City, and
the Project will then be leased pursuant to the terms of a Lease, by the
City to H. D. Hudson Manufacturing Company. It is further proposed that the
City give a mortgage in the real estate and a security interest in the
personal property constituting the Project and pledge the revenues and other
receipts derived from the leasing of the Project to the First Trust Company
of St. Paul as trustee for the security of and payment for $850,000
Industrial Development Revenue Bonds of 1973 of the City, all in accordance
with a proposed form of Mortgage and Indenture of Trust, hereinafter referred 0
to as the Indenture, and that H. D. Hudson Manufacturing Company, guarantee
payment of the principal of and interest on the Bonds and the full and prompt . .~
performance of all covemants and agreements made under the lease pursuant
to a Guaranty Agreement with the City and Trustee.
4. This Council by action taken on , 1973
gave preliminary approval to the proposal and on or about
,1973, the Commissioner of Economic Development gave approval
to the Project as tending to further the purposes and policies of the
Minnesota Industrial Development Act.
5. Pursuant to the Preliminary approval of the Council, forms
of the following documents have been submitted to the Council for approval:
a. Lease to be dated as of August 1, 1973, between the
City of Hastings and H. D. Hudson Manufacturing Company,
providing for the construction and equipping of the Project.
in the name of the City and the leasing thereof to H. D.
Hudson Manufacturing Company, and containing recitals,
covenants and agreements by the parties with reference to
the Project and in relation to its installation.
b. Mortgage and Indenture of Trust, dated as of
August 1, 1973, to be made and entered into between the
City and the First Trust Company of Saint Paul, as Trustee,
pledging the revenues and giving a mortgage and security
interest in the Project for the security of $850,000
Industrial Development Revenue Bonds of 1973, proposed to
be issued by the City of Hastings, and setting forth proposed
recitals, covenants and agreements by the parties with
respect thereto.

c. Guaranty, dated as of August 1, 1973, to be made
and entered into be tween:: "the City, the Trustee, and H. D.
Hudson Manufacturing Company, guaranteeing payment of the
pricipal of and interest on the Bonds.

6. It is hereby found, determined and declared that:
a. the real estate, buildings, capital equipment
and related equipment described in the Lease and Indenture
referred to above constitute a Project authorized by the
Minnesota Industrial Development Act:

b. the purpose of the Project is and the effect
thereof will be to promote the public welfare by the
attraction, encouragement and development of economically
sound industry and commerce so as to prevent, so far as
possible, the emergence of' blighted and marginal lands
and areas of chronic unemployment; the development of
industry to use the available resources of the community,
in order to retain the benefit of its existing investment
in educational and public service facilities, by halting
the movement of talented, educated personnel of mature
age to other areas and thus preserving the economic and
human resources needed as a base for providing govern-
mental services and facilities; and the intensive develop-
ment of land available in the community to provide and
adequate tax base to finance the increase in the amount
and cost of governmental services;
c. the Project is to be located within the City
limits, at a site which is easily accessible to employees
residing within the City and the surrounding communities:

d. the acquisition and construction of the Project,
the issuance and sale of the Bonds, the execution and
delivery of the Lease, the Indenture and the Guaranty and
the performance of all covenants and agreements of the
City contained in the Lease and Indenture and the Guaranty
and of all other acts and things required under the
Constitution and laws of the State of Minnesota to make
the Lease, Indenture and Bonds valid and binding obliga-
tions of the City in accordance with their terms, are
authorized by the Industrial Development Act:
e. the use of the Project for the purpose and in
the manner contemplated by the Lease conforms to all
applicable zoning, pollution control, water conservation
and other regulations and ordinances of the State of
Minnesota, the County of Dakota and the Village;
f. it is desirable that the Tenant be authorized,
in accordance with the provisions of Section 474.03 (6)
of the Industrial Development Act and subject to the
terms and conditions the City determines to be necessary,
desirable and proper, to provide for the acquisition,
construction and installation of the Project by such
means as shall be available to the Tenant and in the
manner determined by the Tenant, and with or without
advertisement for bids as required for the acquisition,
construction and installation of other municipal facilities;

g. it is desirable that Industrial Development
Revenue Bonds in the amount of $850,000 be issued by
the City upon the terms set forth in the Indenture,
under the provisions of which the City's interest in
the Lease and the rentals thereunder will be pledged
and the Trustee will be given a security interest in
the Project as security for the payment of principal,
interest and redemption premiums on the Bonds;
h. the rentals charged in the Lease for the use
of the Project are fixed, and required to be revised
from time to time as necessary, so as to produce income
and revenue sufficient to provide for the prompt
payment.of principal of and interest on all Bonds is-
sued under the Indenture when due, and the Lease also
provides that the Tenant is required to pay all expenses
of the operation and maintenance of the Project includ-
ing, but without limitation, adequate insurance thereon
and insurance against all liability for injury to per-

sons or property arising from the operation thereof,
and all taxes and special assessments levied upon or
with respect to the leased premises and payable during
the term of the Lease.
i. under the provisions of Minnesota Statutes,
Section 474.10, and as provided in the Lease and Inden-
ture, the Bonds are not to be payable from nor charged upon any
other funds other than the revenue pledged to the
payment thereof; the City is not subject to any leability
thereon; no holder or holders of the Bonds shall ever
have the right to compel any exercise by the City of its
taxing powers to pay any of the Bonds or the interest
thereon, nor to enforce payment thereof against any
property of the City except the Project mortgaged by
the Indenture; the Bonds shall not constitute a charge,
lien, or encumbrance, legal or equitable, upon any
property of the City except the Project; each bond issued
under the Indenture shall recite that the Bond, including
interest thereon, is payable solely from the revenue
pledged to the payment thereof; and, no Bond shall con-
stitute a debt of the City within the meaning of any
constitutional or statutory limitation.

7. The forms of the Lease, Indenture and Guaranty refer-
red to above are approved. The Lease is directed to be
executed in the name and on behalf of the City by the Mayor
and the City Clerk, upon execution thereof by H. D. Hudson
Manufacturing Company. The Indenture is directed to be
executed in the name and on behalf of the City by the Mayor
and City Clerk and delivered to the Trustee. Copies of all
of the documents shall be delivered, filed and recorded as
provided therein. The Guaranty is directed to be executed
in the name of and on behalf of the City by the Mayor and
City Clerk, upon execution thereof by H. D. Hudson
Manufacturing Company, and delivered to the Trustee.

8. In anticipation of the collection of revenues of the
Project, the City shall proceed forthwith to issue its Indus-
trial Development Revenue Bonds of 1973, dated as of August 1,
1973, in the principal amount of $850,000, in the form and
upon the terms set forth in the Indenture which terms are for
this purpose incorporated in this resolution and made a part
hereof. The proposal of Juran & Moody, Inc. to purchase such
bonds at a price of $841,500 plus accrued interest upon the
terms and conditions set forth in the Indenture is hereby found
and determined to be reasonable and is hereby accepted. The
Mayor and City Clerk are authorized and directed to prepare
and execute the Bonds as prescribed in the Indenture and to
deliver them to the Trustee, together with a certified copy of
the Indenture for authentication and delivery to the purchaser.
9. The Mayor and City Clerk and other officers of the
City are authorized and directed to prepare and furnish to
the purchaser of the Bonds, when issued, certified copies of
all proceedings and records of the City relating to the Bonds,
and such other affidavits and certificates as may be required
to show the facts relating to the legality and marketability
of the Bonds as such facts appear from the books and records
in the officers' custody and control or as otherwise known to
them; and all such certified copies, certificates~and affi-
davits, including any heretofore furnished, shall constitute
representations of the City as to the truth of all statements
contained therein.

WHEREAS, pursuant to proper notice duly given as required by
law, the Council has met and heard and passed upon all objections to the
proposed assessments for the improvement of the following:

NOW, THEREFORE BE IT RESOLVED BY THE CITY COUNCIL OF HASTINGS:

1. Such proposed assessments, a copy of which is attached
hereto and made a part hereof is hereby accepted and shall constitute
the special assessments against the lands therein, and each tract of
land therein included is hereby found to be benefited by the proposed
improvement in the amount of the assessment levied against it.
2. Such assessment shall be payable in equal installments
extending over a period of 10 years, the first of the installments to
be payable on or before the first Monday of January, 1974.

Any deferred installments shall bear interest at the rate of eight percent (8%)
per annum. To the first installments shall be added interest on the
entire assessment, from the date of this assessment resolution, until
December 31, 1973. To each subsequent installment when due shall be added
interest for one year on all unpaid installments.

3. The owner of any property so assessed may, for 30 days after
notification from the City Treasurer, pay to the City Treasurer, the whole
of the assessment without interest, and he may at any time, prior to
certification of the assessment to the County Auditor, as herein provided,
pay the whole of the assessment against any parcel with interest accrued to
the date of payment to the City Treasurer, and he may at any time thereafter
pay the County Treasurer the entire amount of the assessment remaining unpaid
with interest accrued to December 31st of the year in which such payment
is made.
4. The City Clerk shall forthwith transmit a certified duplicate
of this assessment to the County Auditor to be extended on the proper tax
lists of the County and such assessment shall be collected and paid over in
the same manner as other municipal taxes.

Councilman Kramer seconded the motion to adopt said resolution and
the same was passed by the following vote: Ayes, all; Nayes, none.
Moved by Councilman Kramer, seconded by Councilman Schnirring that
the City authorize the appraisal on property,owned by Dennis Held, for a
proposed extension of a Street between 9th and 10th Street from Pine Street
west to school property. Ayes, all; Nayes, none.
Councilman Novak made the motion, Councilman Collins seconded that
the Cold Storage Building at the Public Works be tabled. Ayes, Councilman
Collins, Kramer, O'Connor, Fischer, Driscoll and Novak. Nayes, Councilman

request from Thrifty Drug Stores to park a semi trailer behind the Midtown
Shopping Center on Eddy Street approximately 200' from the corner of Hwy 55
